The study aimed to identify the impact of the characteristics of the board of directors represented by (size of the board of directors, separation of duties, independence of the board of directors, number of board meetings, and ownership concentration) on the sticky costs of the industrial companies listed on Amman Stock Exchange, and to identify the effect of the quality of external auditing as a moderating variable. To achieve the objectives of the study, primary data was collected from the annual reports and notes published by the jordanian industrial companies listed on Amman Stock Exchange, for the period (2015-2019). The study population is (46) industrial companies, while the sample consisted of (38) industrial companies that met the conditions of the study, with a total of (190) observations during the study period. To analyze the data, a number of descriptive and analytical statistics methods were used, the study concluded that there is a statistically significant impact of the characteristics of the board of directors on sticky costs in the Jordanian industrial companies listed on Amman Stock Exchange, and the existence of an effect of the modified role of the quality of external auditing on the relationship between the characteristics of the board of directors and sticky costs. When examining the characteristics of the board of directors individually, the results revealed that there is no impact of the size of the board and the number of its meetings on the sticky costs, but there is an impact of the separation of duties, the independence of the board of directors, and the concentration of ownership in the sticky costs.

The study recommended that regulatory and supervisory authorities activate their supervisory role to increase industrial companies’ compliance with the instructions of the Securities Commission regarding the characteristics of the board of directors, induce the administrations of these companies to submit a periodic report on the impact of administrative decisions on the stickiness of costs, and enhance the role of external audit in reducing sticky costs.
